These Terms of Service ("Terms") govern access to and use of Rydax (the "Service"), a construction management software platform provided by Rydax, having its registered office at Registered address — to be confirmed ("Rydax", "we", "us", or "our").
By creating a company account on Rydax, or by using the Service in any way, you ("Customer", "you", or "your") agree to be bound by these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
Rydax is a multi-tenant, cloud-based software platform for construction companies to manage projects, employees, attendance, accounts, loans, tools & machinery, and related business operations. Each company that signs up ("Company Account") gets an isolated workspace; data belonging to one Company Account is not accessible to any other Company Account.
We may add, change, or remove features of the Service from time to time. We will make reasonable efforts to notify Customers of material changes that reduce functionality they are actively paying for.
2.1. To use Rydax, you must create a Company Account and at least one Admin user. You are responsible for the accuracy of the information provided at signup, including your Company Code, company name, and contact details.
2.2. You are responsible for maintaining the confidentiality of login credentials (phone number, password, and Company Code) for every user under your Company Account, and for all activity that occurs under those credentials.
2.3. You are responsible for the accuracy of data your users enter into the Service, including employee records, attendance, financial entries, and any documents uploaded.
2.4. You must notify us promptly at admin@rydax.in if you become aware of any unauthorized access to your Company Account.
2.5. Admin users within a Company Account are responsible for managing the access permissions of other users within that account. Rydax is not responsible for internal disputes over access levels between users of the same Company Account.
3.1. Rydax offers a free trial period (currently 14 days from signup) and one or more paid subscription plans, as described within the Service itself under Company Details → Billing. Plan features, limits, and pricing may be changed by us from time to time; we will give reasonable notice of price changes before they apply to your next billing cycle.
3.2. Payments are processed through Razorpay, a third-party payment gateway. We do not store your card, UPI, or bank account details — these are handled entirely by Razorpay in accordance with its own terms and applicable RBI regulations.
3.3. Subscription payments made through the Service are currently billed manually per period, not on an automatic recurring basis, unless and until we introduce automatic recurring billing and notify you accordingly.
3.4. If a subscription is not renewed by its due date, your Company Account may be moved to read-only access — existing data remains visible, but new entries, edits, and deletions are disabled until the account is renewed. Continued non-payment beyond 30 days may result in account suspension per Section 7.
3.5. See our separate Subscription & Refund Policy for cancellation and refund terms, which forms part of these Terms by reference.
4.1. As between you and Rydax, you retain all ownership rights to the data you and your users input into your Company Account ("Customer Data"), including employee records, project data, financial entries, and uploaded documents.
4.2. You grant us a limited license to host, process, and display Customer Data solely for the purpose of providing the Service to you.
4.3. We do not access, use, or share Customer Data across Company Accounts, and we do not sell Customer Data to third parties. See our Privacy Policy for full details on data handling.
4.4. You are solely responsible for ensuring you have the necessary rights and consents to upload any personal data of your employees, subcontractors, or other individuals into the Service, and for complying with applicable data protection law (including the Digital Personal Data Protection Act, 2023) in respect of that data.

The Service, including its software, design, branding ("Rydax" and associated marks), and underlying technology, is owned by us or our licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.
7.1. We may suspend or terminate your access to the Service if: (a) you fail to pay applicable fees after notice and a reasonable cure period; (b) you materially breach these Terms and fail to remedy the breach after notice; or (c) we are required to do so by law.
7.2. You may terminate your Company Account at any time by contacting us at admin@rydax.in. See the Subscription & Refund Policy for the effect of termination on fees already paid.
7.3. Upon termination, we will retain Customer Data for a reasonable period (currently 30 days) to allow you to export it or reactivate the account, after which it may be permanently deleted, except where we are required to retain it for legal or regulatory reasons.
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, upgrades, or due to circumstances outside our reasonable control (including outages of our infrastructure providers, such as Supabase or our hosting provider).
9.1. To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied.
9.2. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Service.
9.3. Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the amount you paid us for the Service in the 12 months preceding the claim.
9.4. Nothing in these Terms limits liability for fraud, willful misconduct, or gross negligence, or any liability that cannot be excluded under applicable law.
You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or Customer Data uploaded through your Company Account, to the extent permitted by applicable law.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new "Last updated" date, and, where required by law, by direct notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at City, State — to be confirmed, India.
